Terms and conditions

Violexa is a trade name of CodeZillo (sole proprietorship), De Nieuwe Erven 3, 5431 NV Cuijk, the Netherlands, Chamber of Commerce 89154002, VAT NL004697514B91. These terms apply to every quote, project and subscription from Violexa. What your quote says comes before these terms.

What we do

We build custom websites, web shops, apps and software, and we do branding, marketing and AI solutions for businesses. After launch we can take care of hosting, updates and small changes.

Quote and project

• You always get a quote first with what we build, the price, the planning and the payment terms. A quote is valid for 30 days.
• The project starts as soon as you accept the quote, online or by email.
• The price includes two feedback rounds per part. Extra work is only done after we agree on it, at € 75 per hour excl. VAT.

Prices

All prices are in euros and excl. VAT unless stated otherwise. Current prices are on the website, such as the Website page (€ 49 per month), and in your quote.

Running third-party costs, such as a domain name, transaction or messaging costs, are listed separately in your quote when they are not included.

Subscriptions

• A subscription runs for the period in your quote, for example 24 months for the website subscription. After that it continues per month and you can cancel monthly.
• You pay per month, quarter or year in advance, as stated in your quote.
• If you want to stop earlier, your quote says what you still pay in that case. After that the website is yours.
• Cancel by emailing info@violexa.com. You get a confirmation within 2 working days.

Payment

• You pay an invoice within 14 days, using the payment link on the invoice (iDEAL, credit card) or by bank transfer.
• Projects are paid in instalments: by default 40% on acceptance, 30% at the first launch and 30% on delivery.
• Payments are processed by our payment partner Mollie B.V. in Amsterdam.
• If you don’t pay on time we send a reminder. If payment still doesn’t come, we may pause work and hosting until the invoice is paid, and charge statutory interest and collection costs.

Direct debit

Subscriptions are paid by direct debit (SEPA Direct Debit), so you don’t have to pay by hand every month.

• Mandate: you give the mandate with your first payment by iDEAL or credit card. With it you allow CodeZillo (Violexa) to collect the next instalments from your account, and your bank to carry this out.
• Pre-notification: the amount, the interval (monthly, quarterly or yearly) and the fixed collection day are in your quote and on your first invoice. That is the notice for all following collections. If the amount or date changes, we tell you by email at least 14 days in advance.
• After every collection you get an email with the amount, the date and the invoice number. Your bank statement shows the description of your subscription.
• Refunds: if you disagree with a collection, you can have your bank refund it within 8 weeks without giving a reason. Feel free to contact us first so we can sort it out together.
• Failed collection: if a collection fails, for example due to insufficient funds, we send you a payment request by email. The amount remains due.
• Stopping: you can withdraw the mandate at any time via info@violexa.com or your bank. Your subscription then continues under the terms above and you pay the remaining instalments by invoice.

Ownership

Once paid in full, the design, texts and code we made for you are yours. Until then they remain ours. Third-party software and tools remain the property of their makers and fall under their own licences.

Aftercare, hosting and maintenance

After delivery you get 30 days of free aftercare for errors in our work. Hosting and maintenance are part of your subscription or come as a separate proposal. We do our best to keep your website online, but cannot promise 100% availability.

Liability

We are only liable for direct damage caused by a mistake of ours, and never for more than what you paid us in the 12 months before. We are not liable for indirect damage, such as lost revenue, or for outages at third parties.

Complaints

Not happy with something? Email info@violexa.com. We reply within 5 working days and find a solution together.

Law

Dutch law applies to these terms and our agreements.
